Job Description

Our client is a well-known retail estate developer in Thailand.

Responsibilities

  • Drafting and submitting reports (English and Thai) and disclosures to SET and SEC.
  • Preparing and finalising 56-1 One Report in both English and Thai and submitting One-Report data structure to SET.
  • Executing and maintaining all required official corporate filings, securities disclosures, reports and records.
  • Ensuring the company and the Board comply with the relevant laws and regulations including resolutions of the Board, resolutions of the AGM, and corporate good governance practices.
  • Creating Board Meetings & Shareholder Meetings arrangement
  • Planning and executing all Board meetings and shareholder meetings, including creating agendas; inviting the appropriate attendees; reserving the meeting space and preparing all necessary documents.
  • Preparing minutes of meetings and following up on the resolution implementation.
  • Overseeing the rights of shareholders and creating good relationships with the shareholders.
  • Maintaining the company’s significant documentation such as the affidavit, the MOA and AOA, the shareholder book closing, shareholder correspondence, shareholder list and registration, business licenses, power of attorney, SEC/SET compliance paperwork, stock transfers, proxy statements, etc.
  • Registrating corporate documents at DBD - Executes, files and maintains corporate documents including the affidavit, the MOA and AOA.
  • Updating all documents relating to changes in directors, authorization, and shareholders.

Qualifications

  • Bachelor's degree or higher in Law is a must.
  • At least 5 years of experience working in compliance functions or taking a role as a Company Secretary.
  • Good command of English, both written and spoken.
  • Have good knowledge of cooperated laws (Both the private limited company and public company) and the regulations of the SEC and SEC.
